Terms of Service

1. Acceptance of Terms

By accessing or using the SiteGrader website, application, application programming interface (API), or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and SiteGrader (“we,” “us,” or “our”).

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

SiteGrader is an automated website analysis tool that scans publicly accessible web pages and generates informational scores and suggestions across categories including, but not limited to, search engine optimization (SEO), performance, security, and accessibility. The Service provides a score from 0 to 100 along with individual findings and recommendations.

Important

SiteGrader is NOT a professional security audit, SEO consultation, accessibility compliance certification (including WCAG or ADA compliance), or a substitute for any professional advisory service. The Service is designed to provide automated, informational guidance only.

3. Accuracy Disclaimer

THIS IS A CRITICAL PROVISION. PLEASE READ CAREFULLY.

All scores, findings, recommendations, and other outputs generated by the Service (“Results”) are produced by automated checks and algorithms. Results are provided on an “AS IS” and “AS AVAILABLE” basis.

  • Results may not reflect the complete, current, or accurate state of any website.
  • SiteGrader does not guarantee the accuracy, completeness, reliability, timeliness, or suitability of any Results for any purpose.
  • Results should NOT be used as the sole basis for business, security, compliance, legal, or any other decisions.
  • Scores may vary between scans due to network conditions, content delivery network (CDN) behavior, A/B testing, server load, geographic location, caching, and other factors outside our control.
  • The absence of a finding does not mean the absence of a problem. A passing score does not mean a website is secure, compliant, or optimized.
  • A failing score does not necessarily mean a website has serious or actionable problems.

You acknowledge and agree that you use the Results entirely at your own risk. We strongly recommend consulting qualified professionals for security audits, accessibility compliance, legal compliance, and SEO strategy.

4. No Warranty

THE SERVICE AND ALL RESULTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that the Results will meet your requirements or expectations, or that any defects will be corrected.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SITEGRADER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Service;
  • Any inaccuracy, incompleteness, or error in the Results;
  • Any decisions made or actions taken based on the Results;
  • Any unauthorized access to or alteration of your data;
  • Any third-party conduct or content related to the Service;
  • Any failure of the Service to detect a security vulnerability, accessibility issue, SEO deficiency, or performance problem.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITEGRADER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SITEGRADE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

6. Refund & Cancellation Policy

All sales are final.

  • One-time report purchases: Non-refundable once the report has been generated and delivered. Because reports are generated instantly upon request, they are considered delivered at the time of purchase. The current price for a full report is $29 USD.
  • No subscriptions or recurring charges: SiteGrader operates on a pay-per-report model. There are no subscriptions, monthly fees, or recurring charges.

If you believe you have been charged in error, please contact us at support@sitegrader.dev within 30 days of the charge.

7. Acceptable Use

You agree that you will not use the Service to:

  • Attack, probe, stress-test, or attempt to exploit or compromise any website or server;
  • Conduct automated or bulk scanning beyond the rate limits established by SiteGrader;
  • Resell, redistribute, sublicense, or commercially exploit the Service or Results without prior written authorization from SiteGrader;
  • Interfere with or disrupt the Service, servers, or networks connected to the Service;
  • Use the Service to violate any applicable law, regulation, or third-party right;
  • Circumvent, disable, or otherwise interfere with any security-related or rate-limiting features of the Service;
  • Scrape, harvest, or extract data from the Service through automated means other than the official API;
  • Transmit any malware, viruses, or other harmful code through or to the Service.

We reserve the right to suspend or terminate your access to the Service at any time, without notice, for any violation of these acceptable use provisions.

8. Indemnification

You agree to indemnify, defend, and hold harmless SiteGrader, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or reliance on the Service or Results;
  • Your violation of these Terms;
  • Your violation of any applicable law or third-party right;
  • Any claim by a third party related to a website you submitted for scanning;
  • Any decision made or action taken by you or any third party based on the Results.

9. Third-Party Websites

SiteGrader scans websites owned and operated by third parties. By submitting a URL for scanning, you represent and warrant that:

  • You have authorization to scan the submitted website, or the website is publicly accessible and its scanning does not violate any applicable terms of service, law, or regulation;
  • You will not use the Service to scan websites for malicious purposes, including but not limited to identifying vulnerabilities for exploitation;
  • You accept sole responsibility for ensuring that your use of the Service does not infringe the rights of any third party.

SiteGrader is not responsible for the content, practices, or policies of any third-party website. The inclusion of a website in scan results does not imply endorsement by SiteGrader.

10. Data Handling

Scan results and related metadata may be stored for the purpose of providing the Service, improving performance, and enhancing the accuracy of our analysis algorithms. URLs submitted for scanning are not shared with third parties except as necessary to operate the Service (e.g., making HTTP requests to the target URL).

11. Purchases & Pricing

SiteGrader currently operates without user accounts. Paid reports are fulfilled via one-time purchases processed by Stripe. Purchases are linked to the payment session, not to an account.

Pricing is subject to change with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

12. Intellectual Property

The Service, including its software, algorithms, design, text, graphics, logos, and all associated intellectual property, is owned by SiteGrader and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use the Service in accordance with these Terms.

13. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 3 through 8, and any other provisions that by their nature should survive termination, shall survive.

14. Modifications to Terms

SiteGrader reserves the right to modify these Terms at any time. We will notify registered users of material changes via email or by posting a notice on the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
